Terms of Service for Clubs
Effective from: 19/10/2026
1. Introductory provisions
These terms of service (the “Terms”) govern the rights and obligations relating to the provision and use of the spartON service (the “Service”) operated by MACET, s.r.o., Nitrianska 32/189, 949 11 Nitra, IČO 35953781, Zapísaná v Obchodnom registri Okresného súdu Nitra, oddiel: Sro, vložka č. 17071/N (the “Operator”).
The Terms apply to the agreement between the Operator and the club that orders the Service (the “Agreement”). A club means a sports club, civic association, organiser of youth activity groups or camps, or any other legal entity or entrepreneur using the Service in connection with its activities (the “Club”). The Club is not a consumer.
Pursuant to Section 262(1) of Slovak Act No. 513/1991 Coll., the Commercial Code, the parties agree that their relationship is governed by the Commercial Code even where it would not otherwise be a commercial relationship.
The Data Processing Agreement, which governs the processing of personal data the Operator carries out on behalf of the Club, forms an integral part of the Terms. Processing for which the Operator acts as controller is described in the Privacy Policy.
2. Definitions
“Club Administrator” means a natural person whom the Club has authorised in the Service to administer the Club (in particular settings, members, payments and access of other persons).
“User” means any person holding a user account within a Club in the Service, in particular a Club Administrator, coach, group leader, Club staff member, member or a member’s legal guardian.
“Member” means a person the Club records in the Service as its member or as a participant in an activity group, camp or other activity, including minors. “Applicant” means a person who has submitted an application through the Service.
“Club Content” means all data, texts, photos, documents and other materials that the Club or its Users enter into the Service or send or publish through it.
“AI credits” are accounting units used to pay for the use of artificial intelligence features in the Service.
3. Description of the Service
The Service is a web application (including a mobile version installable as a PWA) that allows the Club in particular to: keep records of members, legal guardians and groups (teams, activity groups, camp sessions); issue payment requests and track their settlement; record attendance; receive online applications; communicate with members and guardians by e-mail, push notifications and SMS; manage events and use artificial intelligence to create draft posts for Facebook, Instagram and the Club’s website from event descriptions and photos; store and share documents.
The current scope of features is described on the Service website and in the application. The Operator may continuously develop and change the Service, provided that its core features are not substantially restricted.
The Club shall provide its own devices, internet connection and an up-to-date web browser to use the Service.
4. Registration and user account
The Club registers by completing the registration form and verifying its e-mail address. The Agreement is concluded when the Club completes registration, during which it accepts these Terms.
The person registering the Club represents that they are authorised to act on behalf of the Club and to conclude the Agreement. The Club shall provide true and complete information (in particular name, registered office, company ID, tax ID and billing details) and update it without undue delay.
The Club decides which persons are granted access to the Service and with which permissions, and is responsible for their conduct as for its own.
Users shall protect their login credentials and not disclose them to others. The Club shall notify the Operator of any suspected misuse of an account without undue delay at info@sparton.eu.
5. Obligations of the Club
With respect to the personal data of members, legal guardians, applicants and its own staff, the Club is the controller. The Club is responsible for having a legal basis for the processing, for properly informing data subjects and, where required by law, for obtaining their consent, and in the case of children the consent of their legal guardian.
The Club is responsible for the accuracy, completeness and timeliness of the data it enters into the Service, as well as for the correctness of the amounts requested and of payment details.
The Club is responsible for all Club Content, including content it sends or publishes through the Service. The Club may upload and publish photos and videos showing children or other identifiable persons only with the consent of the person concerned, in the case of children with the consent of their legal guardian, or on another legal basis.
The Club shall not use the Service for unlawful purposes, in particular to disseminate content infringing the rights of third parties, to send unsolicited commercial communications, to interfere with the security or integrity of the Service, to scrape data automatically or to place an unreasonable load on it. The Club may send messages (e-mail, push notifications, SMS) only to persons connected with its activities, and marketing messages only in compliance with applicable law.
The Club shall compensate the Operator for any damage and costs arising from third-party claims made as a result of the Club’s breach of its obligations under this section.
6. Personal data protection
When processing personal data that the Club enters into the Service, the Operator acts as a processor under Article 28 of Regulation (EU) 2016/679 (GDPR). The rights and obligations of the parties are set out in the Data Processing Agreement, which forms part of the Agreement and which the Club accepts together with these Terms.
The Operator processes the personal data of Club Administrators and the Club’s billing data as a controller in accordance with the Privacy Policy.
7. Trial period
A newly registered Club may use the Service free of charge for 30 days from registration (the “Trial Period”). During the Trial Period, the Club has a limited number of AI credits available.
If the Club does not cancel its account before the Trial Period ends, use of the Service continues against payment in accordance with Section 8.
8. Price and payment terms
The subscription price is 20.00 € excluding VAT per month per Club. The subscription includes use of the Service and a monthly allowance of AI credits as set out in the current price list.
Value added tax is added to the price at the rate prescribed by applicable law.
The subscription is invoiced monthly in advance. The Operator issues invoices electronically and delivers them by e-mail or makes them available in the application; the Club agrees to electronic invoicing. Invoices are payable within the term stated on them.
The Club may pay an invoice by bank transfer to the Operator’s account, quoting the variable symbol, or by payment card.
9. Late payment
If the Club is late in paying an invoice, the Operator will send a reminder by e-mail. The Operator is entitled to default interest under the Commercial Code.
If the Club does not pay the outstanding amount within the additional period stated in the reminder, the Operator may restrict access to the paid features of the Service until payment is made in full. The Club’s data is preserved and not deleted during the restriction; once the outstanding amount is paid, the Operator will restore the features without undue delay.
10. Additional AI credit and SMS packages
The Club may purchase additional AI credit and SMS packages in the application at the prices set out in the current price list. The price of purchased packages is billed on the next invoice.
The monthly AI credit allowance included in the subscription is valid until the end of the calendar month for which it was granted; unused monthly credits expire without compensation at the end of the month. Monthly credits are always used first.
Purchased AI credits and SMS messages do not expire and may be used for the entire term of the Agreement. Upon termination of the Agreement, any unused credits and SMS messages lapse without compensation.
11. Payments from Club members
The Service allows the Club to issue payment requests to members and their guardians (for example membership fees, course fees or camp fees) and to track their settlement. The Operator is not a party to the relationship between the Club and its members or their guardians. The Club is solely responsible for the amount and legitimacy of payment requests, refunds, complaints and tax obligations.
Bank transfer payments go directly to the Club’s bank account. The Operator never receives or holds these funds; the Service only provides payment details (account number, variable symbol, QR code) and a record of payments.
Card payments are processed via Stripe Connect. To accept them, the Club opens its own account with Stripe and enters into a separate agreement with Stripe under Stripe’s terms. The Operator is not a payment service provider.
The payer (member or guardian) pays exactly the requested amount by card; no fee is added. For each successful card payment, the Operator charges the Club a platform fee of 5 % of the payment amount. The platform fee is consideration for a service provided to the Club (B2B) and is automatically deducted from the amount credited to the Club. Stripe’s processing fees are covered by the Operator out of its platform fee.
12. AI-generated posts
The Service allows artificial intelligence to create draft post texts from an event description and photos that the Club uploads for that purpose. Only these materials are passed on for generation; personal data from the member records is not passed on for this purpose. The Club should not include personal data in event descriptions beyond what is necessary, in particular children’s names or health information.
Generated texts are drafts only and may contain inaccuracies. The Club shall review and, where necessary, edit them before publishing. The Club is solely responsible for published content.
Publishing on Facebook or Instagram is possible only after the Club has connected its page or account on the Meta platform to the Service, and takes place only on the Club’s instruction. The Club shall comply with the Meta platform terms. The Operator is not responsible for the availability of third-party platforms or changes to their interfaces.
Consumption of AI credits follows the current price list. The Operator claims no rights in generated texts; the Club may use them freely.
13. Intellectual property
The Service, its software, design and the spartON name are protected by the Operator’s rights. For the term of the Agreement, the Club obtains a non-exclusive, non-transferable right to use the Service within the scope of these Terms.
Club Content belongs to the Club or its authors. The Club authorises the Operator to handle Club Content solely to the extent necessary to provide the Service.
14. Availability of the Service
The Operator uses reasonable efforts to keep the Service available at all times but does not guarantee error-free or uninterrupted availability. The Operator will announce planned maintenance in advance where possible and carry it out preferably at times of low usage. Unplanned outages are remedied without undue delay.
The Operator is not responsible for outages and limitations caused by third parties, in particular providers of internet connectivity, payment, e-mail, SMS or push services and social media platforms. The Operator does not guarantee delivery of every message, which may be affected, for example, by spam filters or the recipient’s device settings.
15. Liability
The Operator is liable for damage caused by a breach of its obligations under the Agreement. The total compensation the Club may claim from the Operator is limited to the amount the Club paid the Operator in the 12 months preceding the event giving rise to the damage. This limitation does not apply to damage caused intentionally or by gross negligence.
The Operator is not liable for lost profits or indirect damage, for Club Content, for texts published by the Club, for relationships between the Club and its members, or for damage caused by the Club’s breach of its obligations or by circumstances excluding liability.
16. Term and termination
The Agreement is concluded for an indefinite period. The Club may terminate the Agreement at any time in the Club settings or by e-mail to info@sparton.eu; the Agreement ends at the end of the current monthly billing period. Subscription fees paid for a period already begun are not refunded.
The Operator may terminate the Agreement with 30 days’ notice. The Operator may withdraw from the Agreement if the Club materially breaches its obligations, in particular if it is in prolonged payment default or uses the Service unlawfully.
The Club may export its data before the Agreement ends. After termination, the Operator retains the Club’s data for a further 30 days, during which the Club may request an export; the data is then irreversibly deleted. This does not affect data the Operator is required to retain by law (in particular accounting records).
17. Changes to the Terms
The Operator may amend these Terms. It will notify Club Administrators of any change by e-mail at least 30 days before it takes effect.
If the Club does not agree with a change, it may terminate the Agreement with effect from the date the change takes effect. If the Club does not terminate, it is deemed to have accepted the change. Changes required by law or by the need to ensure the security of the Service may take effect sooner.
18. Final provisions
The Agreement and these Terms are governed by the laws of the Slovak Republic. Disputes arising from the Agreement shall be decided by the competent courts of the Slovak Republic.
The parties communicate electronically. The Operator’s contact address is info@sparton.eu; the Operator delivers notices to the Club Administrator’s e-mail address registered in the Service.
If any provision of the Terms is invalid or ineffective, the remaining provisions remain unaffected. The Terms take effect on the date stated in their header.
These Terms are drawn up in Slovak, Czech and English; in case of discrepancies, the Slovak version prevails.
